Urban Retail's Due Diligence Services encompass all of the investigations and inquiries necessary to confirm the current in-place income and physical condition of a property under a purchase contract. Working on behalf of the purchaser, Urban Retail's due diligence team consists of members of the primary company disciplines (management, leasing, marketing, development) plus support functions (legal, accounting, financial analysis) as is necessary. A primary goal in assembling the team is to utilize personnel who would be responsible for the on-going operations at the property. Depending on the individual goals of our clients, Urban Retail will modify its services to accommodate different needs.

Our due diligence evaluation scope of work was developed based on Urban Retail's own purchase procedures, and typically includes the following:

PHASE I - DUE DILIGENCE PERIOD ACTIVITIES
  • Initiate Due Diligence process
  • Evaluate physical property condition
  • Review all leases, vendor contracts and other relevant documents
  • Direct tenant follow-up
  • Prepare future financial projections for initial year of operations
  • Prepare Due Diligence report to buyer

 
PHASE II - PRE-CLOSING ACTIVITIES

  • Purchase and sale contract review (if desired by buyer)
  • Tenant estoppel certificate process
  • Coordinate all management turnover issues with seller
  • Review Closing Proration Calculations at Closing and Continuing as Needed
  • Coordination with Buyer's Lender
